Seadrill is an offshore drilling contractor based in Bermuda. The lawsuits arose after the company announced a suspension of its annual $4-per-share dividend in November, which caused an immediate and significant drop in its share value.<\/p>\n<p><strong><span style=\"text-decoration: underline;\">Rule 10b-5 Violations<\/span><\/strong><\/p>\n<p>The plaintiffs claim the company violated <a href=\"http:\/\/www.ecfr.gov\/cgi-bin\/text-idx?SID=a5a6c68bbbda124ea315a9bced9c0172&amp;node=se17.4.240_110b_65&amp;rgn=div8\" target=\"_blank\">Rule 10b-5<\/a>, which makes it unlawful \u201cto employ any device, scheme, or artifice to defraud, to make any untrue statements of a material fact or to omit to state a material fact necessary in order to make the statements made, in light of the circumstances under which they were made, not misleading, or to engage in any act, practice or course of business which operates or would operate as a fraud or deceit upon any person, in connection with the purchase or sale of a security.\u201d<\/p>\n<div class=\"read_more_link\"><a href=\"https:\/\/www.silverlaw.com\/blog\/seadrill-lawsuits-ordered-to-be-consolidated\/\"  title=\"Continue Reading Seadrill Lawsuits Ordered to be Consolidated\" class=\"more-link\">Continue reading \u203a<\/a><\/div>\n","protected":false},"excerpt":{"rendered":"<p>Recently, a U.S. District Court judge ruled that three class action lawsuits against Seadrill Ltd. will be consolidated.
